Terms of Service for Alitrade

Effective Date: October 1, 2026

Welcome to Alitrade (alitrade.ng). These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “User,” or “Customer”), and Alitrade (“we,” “us,” or “our”), concerning your access to and use of the alitrade.ng website and our cross-border proxy procurement and logistics platform.

By accessing or using our platform, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the platform and must discontinue use immediately.

1. Nature of the Service (Proxy Procurement)

Alitrade operates as a cross-border e-commerce aggregator and proxy procurement service. Our platform integrates with international wholesale marketplaces (such as 1688.com) and translates their catalogs for Nigerian buyers.

  • Proxy Role: When you place an order on Alitrade, you are instructing and authorizing us to act as your agent to purchase the selected goods from third-party Chinese suppliers on your behalf.
  • Not the Manufacturer: We do not manufacture, store, or own the products listed on our platform. We act solely as a technology and logistics facilitator bridging the gap between foreign suppliers and Nigerian consumers.

2. User Accounts and Eligibility

  • Capacity: You must be at least 18 years of age to create an account and form a binding contract under Nigerian law.
  • Accuracy: You agree to provide current, complete, and accurate purchase and account information, including a valid phone number for logistics and WhatsApp API notifications.
  • Security: You are responsible for safeguarding your password and account credentials. Alitrade is not liable for any loss or damage arising from your failure to protect your account information.

3. Pricing, Exchange Rates, and Payments

  • Dynamic Pricing: Product prices on Alitrade are converted from Chinese Yuan (CNY) to Nigerian Naira (NGN) in real-time. Because currency markets fluctuate, the Naira price displayed at checkout is the final authorized price for the product at that exact moment.
  • Payment Processing: All payments must be completed in full via our authorized third-party payment gateways (e.g., Paystack, Flutterwave) before we initiate the proxy purchase with the overseas supplier.
  • Service Fees: The final price displayed at checkout includes the base cost of the item, international exchange rate conversions, and Alitrade’s procurement markup. Shipping and logistics fees may be billed separately depending on the item’s weight and dimensions.

4. Shipping, Customs, and Delivery

  • Third-Party Carriers: We utilize third-party freight forwarders and local courier partners (e.g., GIG Logistics) to transport goods from China to your specified address in Nigeria.
  • Timelines: All shipping transit times displayed on the platform are estimates. Alitrade is not liable for delays caused by customs holds, international freight disruptions, weather, or local courier operational delays.
  • Customs and Duties: Unless explicitly stated otherwise at checkout, Alitrade handles standard export/import customs clearance. However, any extraordinary local taxes, levies, or compliance requirements specific to your receiving jurisdiction remain the responsibility of the buyer.

5. Prohibited Goods

You agree not to use Alitrade to purchase, import, or transport any prohibited items. Prohibited items include, but are not limited to:

  • Firearms, ammunition, or explosives.
  • Counterfeit, pirated, or trademark-infringing goods.
  • Narcotics, controlled substances, or illegal drugs.
  • Hazardous materials, corrosive chemicals, or highly flammable items.
  • Any items prohibited for import by the Nigerian Customs Service (NCS).

If you attempt to source prohibited goods, we reserve the right to cancel the order, terminate your account, and report the activity to the relevant authorities.

6. Order Cancellations, Returns, and Refunds

  • Cancellations: Because we act as a proxy buyer, once your payment is processed and the order is placed with the overseas supplier, it cannot be canceled.
  • No Traditional Returns: Due to the complexities and costs of international cross-border shipping, all sales are final. We do not accept returns or exchanges if you simply change your mind, order the wrong size/color, or if the item does not meet your subjective expectations.
  • Supplier Defaults: If the Chinese supplier fails to deliver the item to our China consolidation warehouse, or if the item arrives at our overseas warehouse visibly damaged before export, we will cancel the order and issue a full refund to your original payment method or Alitrade wallet.
  • Manufacturer Defects: Alitrade is not liable for inherent manufacturer defects or discrepancies in the product’s internal build quality, as we do not open sealed packages or test electronics prior to export.

7. Intellectual Property

  • Platform IP: All source code, databases, functionality, software, website designs, and graphics on the Alitrade platform are owned or licensed by us and are protected by copyright and trademark laws.
  • Third-Party Content: Product images, descriptions, and brand names pulled dynamically via API remain the intellectual property of their respective manufacturers and sellers. Alitrade displays these solely for the purpose of facilitating the proxy transaction.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Alitrade, its directors, employees, and agents shall not be liable for any indirect, consequential, incidental, or punitive damages—including lost profits or lost revenue—arising from your use of the platform. Our total liability to you for any claim arising out of or relating to a specific transaction shall at no time exceed the total amount paid by you to Alitrade for that specific transaction.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled through good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in Borno State, Nigeria, in accordance with the Nigerian Arbitration and Mediation Act.

10. Modifications to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting to the platform. Your continued use of Alitrade following the posting of revised Terms means that you accept and agree to the changes.
